A Sdn Bhd must have at least one director who resides in Malaysia and can have between 1 to 50 shareholders.

The first official step is conducting a company name search and reservation.
You must submit your proposed name through the SSM MyCoID system to check availability.
Important details:

- Processing time: usually 1–2 working days

These usually include:
- Application for company registration (Section 14)
- Declaration by directors and promoters
- Declaration of compliance under the Companies Act 2016
- Identification documents of directors and shareholders

Most entrepreneurs engage a company secretary or incorporation service provider to prepare these documents correctly.

- Applications are submitted digitally
- Processing time is usually 1–3 working days if documents are complete
Once approved, SSM will issue the Notice of Registration (Certificate of Incorporation) confirming that your company is officially registered.
Appoint a Company Secretary
After the Sdn Bhd is successfully incorporated, the company must appoint a licensed company secretary.
Under Malaysian company law:
- A company secretary must be appointed within 30 days of incorporation
- The secretary must be licensed by SSM or a recognized professional body
The company secretary handles statutory compliance, filings, and corporate governance matters.
Complete Post-Registration Requirements
Registering the company is only the first step. Businesses must complete several additional tasks before starting operations.
Common post-registration actions include:
- Opening a corporate bank account
- Registering with LHDN for corporate tax
- Registering with EPF, SOCSO, and EIS if hiring employees
- Filing annual returns and financial statements with SSM
Maintaining compliance with these requirements ensures your Sdn Bhd company remains active and legally compliant in Malaysia.
